By accessing or using our Services, you confirm that you've read, understood, and agree to be bound by these terms. If you do not agree, you must not use the Services.

We may update these terms at any time, and the "Last Updated" date at the top reflects the most recent version. Your continued use of the Services after changes have been posted means you accept the updated terms.

These Services are intended only for users who are at least 18 years old. If you're under 18, you are not authorized to register or use our Services.

1. Our Services

The Services provided by Essai are not intended for use in any jurisdiction or country where such use would violate local law or regulation. If you access the Services from such a location, you do so at your own risk and are solely responsible for complying with applicable local laws.

Our Services are not designed to meet industry-specific regulations (such as HIPAA or FINRA compliance). If your use is subject to such laws, you may not use our Services.

2. Intellectual Property Rights

All intellectual property in our Services, including the website, software, designs, text, images, videos, and trademarks ("Content" and "Marks"), is owned or licensed by Essai and protected by applicable laws.

Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and download or print portions of the Content for your personal or internal business use only.

You may not copy, reproduce, sell, or distribute any part of our Services or Content without our prior written permission.

3. User Representations

By using the Services, you represent that:

  • All information you provide is true, accurate, and complete.
  • You will update your information as needed to keep it current.
  • You are legally capable of entering into this Agreement.
  • You are at least 18 years old.
  • You will not use bots, scripts, or other automated means to access the Services.
  • You will not use the Services for any illegal or unauthorized purpose.

4. User Registration

You may be required to register for an account to access certain features of the Services. You are responsible for keeping your login information confidential and for all activity under your account.

We reserve the right to reclaim any username that we determine is inappropriate, misleading, or offensive.

5. Purchases and Payment

If you make any purchases through the Services, you agree to provide accurate and complete payment and billing information. You also agree to promptly update this information so that we can complete your transactions and contact you if needed.

All payments must be made in the currency specified at checkout. Prices are subject to change at any time, and sales tax may be added where required.

By purchasing a subscription or one-time service, you authorize us to charge your selected payment method at the listed prices. For recurring subscriptions, you authorize us to continue charging until you cancel according to the terms.

6. Cancellation

All purchases made through Essai are non-refundable. You may cancel your subscription at any time by logging into your account settings.

Cancellation takes effect immediately, and any unused credits or access will be lost. Refunds or partial credits will not be provided under any circumstances.

7. Subscription Term and Termination

Your subscription is valid only during the active operational period of Essai. We do not guarantee uninterrupted availability or any specific service term.

If Essai discontinues operations or becomes unable to provide the Services during your active subscription, the subscription may terminate immediately without refund.

8. Prohibited Activities

You may not use the Services for any purpose other than what is explicitly permitted by Essai. The following activities are strictly prohibited:

  • Scraping or extracting data to build a database or directory
  • Deceiving or misleading Essai or other users
  • Attempting to access unauthorized areas or accounts
  • Circumventing security features or technical limitations
  • Uploading viruses or harmful code
  • Engaging in any automated use without permission
  • Using the Services to harass, abuse, or harm others
  • Violating any applicable law or regulation
  • Framing or deep-linking to the Services without consent
  • Disrupting or overloading our infrastructure or systems

9. User Generated Contributions

The Services may allow you to post or submit content, such as reviews, feedback, or other material ("Contributions").

By submitting a Contribution, you confirm that:

  • You own the content or have permission to post it
  • Your content does not violate any laws or third-party rights
  • Your content is not defamatory, obscene, or otherwise objectionable

10. Contribution License

By submitting any content to the Services, you grant Essai a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable license to use, copy, modify, distribute, display, and perform such Contributions in any media, now or in the future, for any purpose, including commercial use.

You retain ownership of your content but waive any moral rights or claims against Essai for how it's used.

11. Third-Party Websites and Content

The Services may contain links to third-party websites or display content from third-party sources. These are provided for your convenience only.

Essai does not control or endorse these external sites or materials and is not responsible for their content, accuracy, legality, or policies.

12. Advertisers

Advertisements may appear within the Essai Services. These are placed by third parties, and Essai is not responsible for their content, claims, or conduct.

Your interactions with advertisers are solely between you and them. Essai does not endorse or guarantee any product or service advertised through the platform.

13. Services Management

We reserve the right, but are not obligated, to:

  • Monitor the Services for violations of these Terms
  • Take legal action or cooperate with law enforcement as necessary
  • Restrict or terminate user access to any part of the Services
  • Remove or disable any content or feature that burdens our systems
  • Make changes to maintain or improve the functionality and integrity of the Services

We do not guarantee that the Services will always be available or error-free. We may experience interruptions, maintenance periods, or system errors.

These Terms and your use of the Services are governed by and interpreted under the laws of the jurisdiction in which Essai operates, without regard to conflict of law rules.

19. Dispute Resolution

Before starting any legal process, both you and Essai agree to try resolving disputes informally for at least 30 days. This period begins when either party sends written notice of the issue.

If no resolution is reached, disputes shall be resolved through binding individual arbitration. You and Essai agree:

  • To resolve claims through final and binding arbitration, not court
  • To waive the right to participate in class actions or group litigation
  • That claims must be brought within 2 years of the event

20. Corrections

There may be occasional errors, inaccuracies, or omissions in the content provided via our Services. Essai reserves the right to correct or update this information at any time without prior notice.

21. Disclaimer

The Services are provided "as is" and "as available." You use them at your own risk.

To the fullest extent permitted by law, Essai disclaims all warranties—express or implied—including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

22. Limitations of Liability

In no event shall Essai be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or data
  • Personal injury or property damage
  • Any damages resulting from your use or inability to use the Services

23. Indemnification

You agree to defend, indemnify, and hold harmless Essai, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses arising out of or in connection with your use of the Services, breach of these Terms, or violation of any rights of another party.

24. User Data

We may maintain certain data that you transmit to the Services for operational purposes, including backups and analytics.

Although we perform routine data backups, you are solely responsible for all data you upload or create while using the Services.

By using the Services, you agree to receive communications from us electronically. This includes agreements, notices, disclosures, and other communications we provide in connection with your use of Essai.

You consent to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices and communications.

By registering, you agree to receive marketing, service updates, billing alerts, and support communications from Essai using the contact details you provided.

26. California Users

If you are a California resident and have a complaint or concern that is not resolved through our support channels, you may contact the Consumer Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

27. Miscellaneous

These Terms, together with our Privacy Policy and any other legal notices, form the full agreement between you and Essai.

Our failure to enforce any part of these Terms does not waive our right to enforce it later.

We may assign our rights and obligations under these Terms at any time. You may not assign your rights without our prior written consent.

28. Refunds

By subscribing to Essai, you understand that access to digital features begins immediately, and you waive the standard 14-day withdrawal period.

Due to the high operating costs of AI systems, all payments are non-refundable, including partially used plans.

Essai operates on a monthly or yearly subscription model. Subscriptions renew automatically unless canceled before the renewal date.
